UGC briefs: how to agree usage rights with a creator

Define UGC deliverables, paid advertising, duration and editing before commissioning a creator.

Receiving a video file does not automatically give permission to use it in every medium for any period. A clear brief explains production and intended uses, allowing changes to be negotiated before they become problems.

Describe the delivery

State format, language, approximate length, number of versions, product to be shipped and date. Explain which claims the brand can substantiate and who approves them. Include subtitles or editable files if needed. Do not assume a social video includes publication on the creator's account.

Then describe the uses. Spain's Intellectual Property Law governs exploitation rights and their transfer; application depends on the agreement and type of work. Review project terms with appropriate advice.

ItemQuestion the agreement should answer
ChannelBrand social accounts, website, product page or other media?
TimeFrom when until when is each use authorised?
TerritorySpain only or other markets too?
AdvertisingDoes the licence include paid ads, and from which account?
EditingAre cuts, versions, translations or subtitles permitted?
DeliveryFinal files only, or raw material too?

Check third-party rights

Music, other people's images, visible brands and locations may require their own permissions. The creator providing a file does not remove that check. Identify who obtains permissions and the alternative if they are not ready in time.

If a creator publishes commercial content on their account, include the disclosure in the brief. CNMC says the notice must be visible in audiovisual content itself. Check the laws and platform rules applicable to the specific case.

Keep the decision with the file

Retain the approved version, licence scope, duration and responsible contact. Check them before reuse in another campaign. If you need more time or territory, seek new permission and agree compensation.

Frequently asked questions

Does organic publication include paid advertising? Do not assume so. Describe the intended use expressly.

Can only final videos be delivered? Yes, if agreed. Raw material can be priced and authorised separately.
